中国上海2013年12月11日电 /美通社/ -- 巨人网络集团有限公司（纽交所交易代码：GA）（以下称“巨人”或“公司”），是一家中国领先的网络游戏开发商和运营商。今天宣布由三位独立董事Peter Andrew Schloss先生、阎焱先生以及江南春先生组成的特别委员会已聘任Morgan Stanley Asia Limited和Duff & Phelps Securities, LLC作为其财务顾问，以评估公司董事会在2013年11月25日收到的来自公司董事会主席史玉柱先生及其附属实体公司，还有霸菱亚洲投资（Baring Private Equity Asia）（以下称“霸菱”）的一个附属公司提出的非约束性私有化要约（以下称“要约”）。

如此前已宣布的，要约来自史总、霸菱以及其他可能加入的实体（如有的话）组成的买方财团。买方财团计划以每股普通股或每股美国存托股（公司每一存托股代表一股普通股）11.75美元的价格现金收购公司所有发行在外的普通股，包括公司存托股所代表的普通股。

特别委员会对完成该交易或其他交易提议（如有的话）的评估并无确切时间表，除非达成协议并不计划宣布相关进展。目前无法保证将会形成任何最终要约，或就该交易签署任何最终协议，或该交易或任何其他交易会被批准完成。
